In case of establishing a company to do business in Japan, there are three kinds of company formations, namely, “Branch”, and “Kabushukigaisya” (“KK”, joint-stock company). The requirements and procedures for registration with a Japanese Regional Legal Affairs Bureau are as follows:
“Branch”
- Requirements -
- A representative who has a residence in Japan is required.
- A business place should be established with the address of a representative or other place.
- Required Documents -
- Articles of association of a head office
- Qualification certificate of a representative in Japan
- Declaration letter (this requires attestation by any constituted authorities in his or her native country or official bodies in Japan)
- Capital -
- Costs and expenses required for registration -
- Registration tax Yen90,000
- Other misc. expenses (Co’ seal, etc.,) approx.Yen30,000
“Kabushukigaisya”
(“KK”)
- Requirements -
- A representative who has a residence in Japan is equired.
- A business place should be established with the address of a representative or other place.
- Not less than 1 director is required (Among them, a representative who has residence in Japan is required. It is allowed, even if all others are foreigners who have residences in overseas countries.)
- Required Documents -
- Articles of association certified by a notary public.
- Qualification certificate of a representative in Japan
- Capital -
- The amount of stated capital can be fixed at any amount
from zero yen.
- Costs and expenses required for registration -
- Registration tax Yen150,000
- Certification charge of Article approx. Yen92,000
- Bank charge of certification of custody approx. Yen50,000
- Other misc. expenses (Co’ seal, etc.,) approx. Yen50,000
