Under the current Companies Act, basic companies only have directors other than the shareholders meeting, and, in principle, each stock company may arbitrarily establish a board of directors, auditors, board of auditors by including in its articles of incorporation provisions as to the same.

All companies (K.K.) must establish one or more directors other than the shareholders meeting.

• When a company (K.K.) establishes a board of directors, it must also establish auditors, and/or a board of auditors.
• In the case of a large company (the stated capital of which is not less than 500 million yen or the debt of which is not less than 20 billion yen), statutory auditors must be established.
